The liquidation of a company involves a series of procedures beginning with the termination of the company´s activity, capitalization of assets and recovery of debts in order to clear the company´s debts and share the remaining assets of the company between the shareholders/partners.
The legislative framework for the liquidation is defined by the commercial entities Law No. 31/1990, the Governmental Ordinance Number 88/1997 regarding the privatization of commercial entities approved through the Law No. 44/1998 and Law no. 137/2002 on certain measures for the acceleration of the privatization.
